These Terms of Service ("Terms") govern your access to and use of BOLzone's trucking management platform (the "Service") provided by Mwamba Inc ("BOLzone," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing the Service, or using any features, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Service Description

BOLzone provides an AI-powered trucking management platform that includes:

• Load profitability predictions and analytics
• Automated compliance tracking (HOS, IFTA, DOT inspections)
• Integrations with ELD systems, loadboards, and factoring services
• Driver, dispatcher, and fleet owner management tools
• Real-time GPS tracking and route optimization

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. You must provide accurate, current, and complete information during registration and keep your account information updated.

3.2 Account Security

• You are responsible for maintaining the confidentiality of your password
• You agree to notify us immediately of any unauthorized access to your account
• You are responsible for all activities that occur under your account
• BOLzone is not liable for losses caused by unauthorized use of your account

4. Subscription and Payment

4.1 Pricing Plans

BOLzone offers tiered subscription plans designed for different operation sizes:

• Starter Plan: Essential tools for owner-operators and small fleets (1-5 trucks)
• Professional Plan: Advanced features for growing operations managing multiple drivers
• Enterprise Plan: Complete optimization suite for large fleets (20+ trucks)

4.2 Early Access Program

We offer an early access program for new users during our pre-launch phase. Early access participants may receive founding member benefits and preferential pricing. Contact us to join the program.

4.3 Payment Terms

• Subscriptions are typically billed monthly in advance
• Payment is processed automatically via your chosen payment method
• All fees are non-refundable except as required by law or as specified in your service agreement
• We reserve the right to change pricing with 30 days' written notice
• Failure to pay may result in suspension or termination of your account

4.4 Cancellation

You may cancel your subscription at any time in accordance with your service agreement. Cancellation typically takes effect at the end of your current billing period. You will retain access to the Service until the end of the paid period.

5. User Conduct and Responsibilities

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws, including DOT regulations and data protection laws
• Share your account credentials with unauthorized users
• Attempt to gain unauthorized access to our systems or networks
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scrapers) without written permission
• Upload malicious code, viruses, or harmful content
• Interfere with or disrupt the Service or servers
• Impersonate another person or entity
• Harass, abuse, or harm other users

6. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your information. You acknowledge that:

• You own your data (load information, trip data, financial records)
• You grant us a license to use your data to provide the Service and improve AI features
• We may use anonymized, aggregated data for analytics and machine learning
• You are responsible for the accuracy and legality of data you provide

7. Third-Party Integrations

BOLzone integrates with third-party services (ELD systems, loadboards, factoring companies). We are not responsible for the availability, accuracy, or reliability of third-party services. Your use of third-party services is subject to their terms and conditions.

8. Intellectual Property

The Service, including all content, software, trademarks, and logos, is owned by BOLzone or our licensors and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes.

9. Disclaimers and Limitations of Liability

9.1 No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9.2 Profitability Predictions

AI-generated profitability predictions are estimates based on historical data and algorithms. We do not guarantee the accuracy of predictions. You are solely responsible for business decisions based on BOLzone data.

9.3 Compliance Responsibility

BOLzone provides tools to help track DOT compliance, but you are solely responsible for compliance with all applicable laws and regulations. We are not liable for fines, penalties, or legal consequences resulting from non-compliance.

9.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOLZONE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless BOLzone, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising out of or related to: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any laws or regulations, or (d) your violation of any third-party rights.

11. Termination

We reserve the right to suspend or terminate your account at any time for any reason, including:

• Violation of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Abuse of the Service or other users

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

12.2 Arbitration

Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) rules. The arbitration shall be conducted in Kennedale, Texas. You waive your right to a jury trial.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after changes constitutes acceptance of the new Terms.

• Assignment: You may not assign these Terms without our written consent. We may assign these Terms at any time.
